NCLT orders dissolution under Section 302 of Companies Act
The Ahmedabad Bench of the National Company Law Tribunal has ordered the dissolution of Jackson Real Estate Private Limited after holding that the company’s affairs had been completely wound up in accordance with law. The order was passed on January 28, 2026 by a Division Bench comprising Judicial Member Shammi Khan and Technical Member Sanjeev Sharma in an application filed by the Company Liquidator under Section 302 of the Companies Act, 2013 read with Rule 174 of the Companies (Winding Up) Rules, 2020. The application was filed by Mr. Mohit Bipinchandra Adatiya, the Company Liquidator, seeking dissolution of the company on the ground that it had ceased all business operations, had no assets or liabilities, and had no possibility of revival. The Tribunal noted that the winding-up petition had earlier been admitted on June 9, 2025 under Sections 271–272 of the Companies Act, following which the applicant was appointed as Provisional Liquidator. Statutory advertisements were duly issued, and no claims were received from any stakeholders.
Tribunal records full compliance with winding-up process
The Bench observed that all procedural requirements under the Companies Act, 2013 and the Companies (Winding Up) Rules, 2020 had been complied with, including settlement of the list of contributories, distribution of available funds, filing of final accounts, and closure of the liquidation bank account. The Liquidator placed on record Forms WIN-39, WIN-40 and WIN-41 along with audited statements, establishing that there were no surviving assets, liabilities, litigation, or pending compliances.
Holding that no useful purpose would be served by continuing the existence of the company, the Tribunal found it just and reasonable to order dissolution under Section 302(2). Accordingly, Jackson Real Estate Private Limited was dissolved with effect from the date of the order. The Registry and the Liquidator were directed to forward a certified copy of the order to the Registrar of Companies, Gujarat within 30 days, and the Liquidator was formally discharged from his duties. The winding-up proceedings were declared closed, with no order as to costs.
