The Kerala High Court upheld the validity of Cochin International Airport Limited’s online Annual General Meeting (AGM), ruling that virtual conduct complies with Section 96 of the Companies Act, 2013. The petitioner had challenged the AGM alleging procedural irregularities and exclusion of shareholders. The court, however, found that the meeting was duly notified, accessible, and in line with Ministry of Corporate Affairs guidelines on e-AGMs. The bench emphasised that the law must adapt to evolving digital realities, where electronic participation fosters inclusivity and transparency. This judgment reinforces judicial recognition of digital corporate governance and validates virtual shareholder engagement as a legitimate extension of statutory meeting procedures.
