Background:
• The appellant MMTC Limited and the respondent entered into a contract for the supply of metallurgical coal.
• Subsequently the respondent alleged inability to perform obligations under the contract and purported to terminate/repudiate.
• The appellant claimed losses and sought specific performance (or in the alternative, damages) for non-fulfilment by the respondent.

• The Court held that in a supply contract pertaining to essential commodities (metallurgical coal) the remedy of specific performance is not automatic — it depends on factors such as availability of substitute supply, feasibility of performance by the respondent, and equity of enforcing performance.
• The Court found that the respondent had validly pointed to logistical/contractual impediments that justified termination or repudiation under the terms of the original agreement.
• It clarified that the appellant could not insist on specific performance if the performance would impose undue burden or if substitute goods were reasonably available such that damages would be appropriate.
• On damages, the Court held that the appellant must demonstrate a clear loss causally linked to the respondent’s breach, and that speculative future profits are not normally recoverable.
• The Court emphasised the need for proper contractual drafting in mineral and supply contracts, including termination clauses and fallback remedies.
