ZEE-Sony Failed Merger: NCLT Grants Zee Entertainment Permission To Withdraw Merger Implementation
The National Company Law Tribunal (NCLT) Mumbai bench has allowed Zee Entertainment Enterprises Limited (ZEEL) to withdraw its application for implementing a merger with Culver Max Entertainment and Bangla Entertainment, owned by Sony Group Corp. This decision came after Culver Max and Bangla Entertainment terminated the merger agreement, alleging breaches of the merger cooperation agreement (MCA) on January 22, 2024. The initial merger agreement aimed to combine ZEEL's and Sony's businesses in a multi-billion-dollar deal signed on December 21, 2021. Culver Max and Bangla Entertainment initiated arbitration seeking $90 million in termination fees at the Singapore International Arbitration Centre (SIAC). Facing legal complexities, ZEEL opted to withdraw its application to focus on addressing these issues separately. The NCLT emphasized the need to avoid parallel legal proceedings and allowed parties to pursue remedies through appropriate channels.
