Agreement & Contract Services

Agreement and contract drafting and review — NDA, MoU, LOI, employment, franchise, loan, lease and sale deeds by verified advocates and company secretaries.

Agreement & Contract services put a deal into writing so that rights, obligations, payment and risk are clear — and enforceable if something goes wrong. WCP professionals draft agreements from your commercial terms, review drafts received from the other side, and advise on stamp duty, registration and execution so the document holds up.

What is covered:

  • NDAs and service-level agreements
  • Letters of intent and memoranda of understanding
  • Employment, freelancer and consultancy contracts
  • Franchise and loan agreements
  • Lease, real-estate and sale-deed drafting
  • Pre-nuptial and other bespoke agreements

Most agreements need stamp duty, which is set State by State, and some — such as sale deeds and leases of more than a year — must be registered to be valid evidence of the transaction.

Frequently asked questions

Does every agreement need stamp duty?
Most do. Stamp duty is charged under the Indian Stamp Act and State stamp laws at rates set by each State, and an unstamped agreement cannot be admitted in evidence until duty and penalty are paid.
Which agreements must be registered?
Documents transferring immovable property, such as sale deeds and gift deeds, and leases of immovable property for more than one year must be registered under the Registration Act, 1908.
Is an online e-stamp valid?
Yes. E-stamp certificates issued through authorised channels are valid stamp paper in States that have adopted e-stamping.
Are non-compete clauses enforceable in India?
Restraints that apply after an employment or business relationship ends are generally void under Section 27 of the Indian Contract Act, 1872; restrictions during the relationship are usually upheld.
Is a digitally signed contract valid?
Yes, under the Information Technology Act, 2000, except for documents such as wills, powers of attorney and property transfers, which need physical execution.
Should I use a template?
Templates rarely match the actual deal; payment, liability, termination and dispute terms should be drafted around the real transaction.
