Frequently asked questions

Is an LOI legally binding?

Usually only partly: commercial terms are often non-binding, while confidentiality, exclusivity and governing-law clauses are made binding.

What is the difference between an LOI and an MoU?

Both record preliminary understanding; an LOI is typically one party's statement of intent for a deal, an MoU a mutual record of cooperation.

Should an LOI include exclusivity?

Often yes, for a limited period, so the buyer can complete due diligence without competing bidders.

Can an LOI be enforced if the deal fails?

Only its binding clauses, such as confidentiality and exclusivity; the main deal terms usually cannot be enforced.
