Board Governance & Compliance Support
Legal and secretarial support for board processes, resolutions, minutes, governance structures, committees, disclosures and listed-company compliance.
- Estimate Cost
- ₹10,000 – ₹60,000
- Typical duration
- 5 days
Service overview
- Ongoing legal and secretarial support for a company's board and governance framework
- The service connects legal requirements with the company's actual decision-making and recordkeeping, and can cover a single board decision or a continuing governance framework
Who needs it? / When is it needed?
Private companies with active boards and, in particular, listed companies and other entities with more extensive governance requirements.
Support is especially useful before board meetings, related-party transactions, policy changes, fund raising or regulatory disclosures, rather than after the approval or filing deadline has passed.
What to expect from the WCP Professionals
WCP professionals would prepare meeting agendas and papers, check statutory requirements, draft resolutions and minutes, maintain governance calendars and assist with committee and disclosure requirements.
How the work would proceed:
- WCP professionals would work from the board calendar and the business decision to be considered, then confirm which materials, disclosures and approvals are needed before the meeting
- They would prepare or review the agenda, resolutions and minutes, identify conflicts and follow-up filings, and track completion after the meeting
- For listed entities, the process should be checked against the current SEBI requirements as well as the Companies Act and the company's own governance documents
Key deliverables
- Board agenda
- Resolutions
- Minutes
- Governance calendar
- Committee charters
- Policy review
- Compliance checklist
The output should make the decision, approving body, disclosure requirement and follow-up action clear, and draft minutes and resolutions should reflect what actually happened.
Standard turnaround time
Routine board papers: 2–5 working days. Complex governance matters may take longer.
Preparation depends on receiving the board papers and facts before the meeting or deadline. Changes to the transaction, missing approvals and regulator queries can require additional work.
Government fees, timelines & key outcomes
Routine governance support has no government fee.
Where a resolution must be filed, MCA forms carry a filing fee of ₹200–₹600 depending on the company's share capital, with additional fees for late filing. MGT-14 is due within 30 days of the resolution.
Key outcomes: properly documented and compliant governance.
Forms & filings involved
- MGT-14 for special resolutions and specified board resolutions
- MBP-1 disclosures of directors' interest
- DIR-12 for changes in directors
- For listed entities: disclosures under SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 to the stock exchanges
The correct forms depend on the company type, listing status and corporate event, and are checked against current MCA and SEBI requirements.
Documents required
- MOA
- AOA
- Previous minutes
- Committee charters
- Board calendar
- Shareholder agreements
- Current policies
Inconsistent records can create governance issues that need to be resolved before the next approval.
What we need from you
Meeting dates, the proposed agenda and timely circulation of supporting business papers.
Management should identify the decision-maker and provide the business rationale for the proposed action. Any conflict of interest or related-party connection should be disclosed before advice or drafting begins.
Important conditions
Listed-company compliance is materially different from ordinary private-company governance.
The same transaction may trigger company-law, securities and contractual requirements. The service should not be treated as complete until the required approvals, filings and record updates have been confirmed.
Additional information
Related-party transactions, disclosure controls and board-process requirements should be reviewed separately where relevant.
For listed companies or cross-border transactions, the scope should identify any separate disclosure, FEMA, competition or sectoral approval workstream.
The estimated cost covers indicative professional fees only. Government fees, stamp duty and taxes are payable at actuals.
How it works
- 1. Raise a service enquiry describing your requirement.
- 2. A Relationship Manager reviews it and opens it for bidding.
- 3. Pay into escrow and assign the professional you select.
- 4. Track progress to completion, then accept and release payment.
