Corporate Law & Governance Services

Corporate law and governance support in India — board processes, ROC filings, director advice, contracts and SEBI/FEMA compliance by verified WCP professionals.

Corporate Law & Governance keeps a company's decisions, records and filings legally sound — from board meetings and statutory registers to regulated transactions involving SEBI, RBI and foreign investment.

WCP professionals connect the Companies Act, 2013, SEBI regulations and FEMA with the decisions a company actually takes, so approvals are valid, disclosures are complete and filings reach the MCA, SEBI or RBI on time.

What is covered:

  • Corporate legal advisory and transaction structuring
  • Drafting and vetting of commercial agreements
  • Board processes, resolutions, minutes and committee support
  • Directors' duties, conflicts and liability advice
  • SEBI, FEMA and RBI regulatory compliance
  • Corporate policies and secretarial (ROC) compliance

Governance work pays off most before the board meeting, transaction or filing deadline — not after it.

Frequently asked questions

What does corporate governance compliance involve for a private company?
Holding board and general meetings as required, recording resolutions and minutes, maintaining statutory registers, disclosing directors' interests and filing annual and event-based forms with the MCA within their due dates.
Which annual ROC filings does a private limited company make?
Mainly AOC-4 (financial statements, within 30 days of the AGM) and MGT-7 or MGT-7A (annual return, within 60 days of the AGM), plus event-based forms such as MGT-14, DIR-12 or PAS-3 when those events occur.
What happens if ROC filings are late?
AOC-4 and MGT-7 attract an additional fee of ₹100 per day of delay with no upper cap, and continued default can lead to penalties on the company and its officers.
Do listed companies have extra governance requirements?
Yes. Listed entities must also comply with SEBI's Listing Obligations and Disclosure Requirements, insider-trading regulations and, where relevant, takeover regulations, on top of the Companies Act.
When does a company need FEMA compliance?
Whenever it receives foreign investment, issues or transfers shares to non-residents or invests overseas — for example, FC-GPR reporting within 30 days of allotting shares to a foreign investor.
Who can help with corporate law and governance work?
Company Secretaries lead secretarial and governance work, Chartered Accountants handle the financial and FEMA aspects, and advocates handle legal opinions, agreements and disputes. WCP lists verified professionals in each domain.
